1. Acceptance of Terms

By accessing and using PedalChain, a service operated by Octalaunch Pty Ltd (ACN 692 017 637 | ABN 91 692 017 637) ("we," "us," "our"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must immediately cease using the Service.

2. Description of Service

PedalChain is a digital platform providing guitar effect signal chain optimization tools powered by our proprietary Automated Signal Chain Scoring Engine (ASCSE) and third-party artificial intelligence models. The Service includes automated ordering suggestions, tonal analysis, gear management (Rig Saving), and Shared Signal Audit features.

3. Modifications to the Service

We reserve the right to withdraw or amend this Service, and any feature or material we provide on the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.

4. User Inputs, Public Reports & Data Retention

You acknowledge and agree that PedalChain operates through both transient processing and persistent storage.

  • Transient Processing: Pedal configurations that are not explicitly saved or shared are processed in real-time only and are not stored on our servers.
  • Shared Signal Audits: When you generate a "Share" link, the specific pedal configuration, analysis results, and optimization data are stored in our database and made available via a public URL. You acknowledge that any Shared Signal Audit is publicly accessible to anyone with the link and remains live until you explicitly revoke it via your account dashboard.
  • Rig Management: Only pedal chains explicitly "Saved" by Pro users (Active Rigs) are retained in our private database for your future use.
  • Naming Responsibility: You are solely responsible for the names you assign to your saved rigs. We reserve the right to censor, rename, or delete rigs with names that are prohibited, offensive, or obscene.
  • No Custodial Obligation: We are not a storage or backup service. You are responsible for maintaining your own records of any critical gear configurations.

5. Intellectual Property

All content, algorithms, the ASCSE scoring methodology, design elements, and functionality of the Service are the exclusive property of Octalaunch Pty Ltd. You are granted a limited, non-exclusive, non-transferable license to access the Service for personal or professional use. You may not:

  • Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service.
  • Use the Service to train competing artificial intelligence models or digital signal processing algorithms.
  • Scrape, crawl, or use automated systems to extract data from the Service without express written consent.

6. AI Disclaimer & Subjectivity of Tone

Tool for Guidance Only: The "Placement Scores," "Sonic Profiles," and "Optimization" results are generated by AI and algorithmic simulations. You acknowledge that:

  • Tone is inherently subjective; what the Service deems "optimal" may not align with your specific artistic taste.
  • The Service is a reference tool for guidance and does not replace professional audio engineering advice.
  • We do not guarantee specific audible outcomes or improvements to your signal quality.

7. Pro Subscriptions & Payments

Access to advanced features (including but not limited to Optimization, Unlimited Analysis, Public Reports, and Rig Saving) requires a paid "Pro" subscription. All pricing is displayed in USD.

  • Billing: Payments are processed securely via Stripe. By subscribing, you authorize us to charge the applicable fees to your provided payment method.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled via your Account Portal (which redirects to our secure payment processor, Stripe) prior to the renewal date.
  • Refunds: To the extent permitted by Australian Consumer Law, subscription fees are non-refundable.

8. Account Security

You are responsible for maintaining the security of your account, managed via Clerk. You must notify us immediately of any unauthorized use of your account or security breach.

9. Fair Use Policy

To ensure the stability and availability of the Service for all users, your use of PedalChain is subject to a Fair Use Policy.

  • No Automated Access: You may not use any automated systems, including bots, scrapers, or scripts, to access the Service or trigger analysis requests.
  • Personal & Professional Use: The Service is intended for human interaction. We reserve the right to limit, suspend, or terminate access for accounts that exhibit usage patterns significantly higher than typical human use.

10. Limitation of Liability

To the maximum extent permitted by law, Octalaunch Pty Ltd shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of the Service. Specifically:

  • Equipment Damage: We are not responsible for any damage to physical audio equipment (pedals, amplifiers, cables, power supplies) resulting from configurations suggested by the Service.
  • Service Interruptions: We do not guarantee that the Service will be uninterrupted, secure, or error-free.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales, Australia for the resolution of any disputes.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

13. Indemnification

You agree to defend, indemnify and hold harmless Octalaunch Pty Ltd from and against any and all claims resulting from: (a) your use and access of the Service; (b) a breach of these Terms; or (c) any content you post or share via the Service, including Shared Signal Audits and Rig names.

14. Entire Agreement & Severability

These Terms constitute the entire agreement between us regarding our Service. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
